Articles of association of the “International Society for Cellular Medicine”

§ 1 Name, registered office and accounting year

(1) The Society bears the name “International Society for Cellular Medicine“. Following registration in the Register of Associations, the supplementary title of “Registered Association” in its abbreviated [German] form of “e.V.” will be added.

(2) The Society's registered office is at 10117 Berlin, Friedrichstraße 95, Germany.

(3) The accounting year is the calendar year.

§ 2 Purpose of the association

(1) The purpose of the Society is the promotion of natural remedies without side effects, based on the findings of Cellular Medicine. It is active in opposing the prohibition on vitamin therapies and other scientifically-proven natural remedies.

(2) The Society collates the findings collected in various fields of medicine and biology relating to natural remedies free of side effects. It promotes the exchange of views in the areas of theory, research and application. Furthermore it devotes special attention to encouraging a new generation of researchers.

(3) The aim of the Articles of Association will be realised in particular through:

•  dissemination of scientific study findings in specialist circles and the public domain,

•  public education/information campaigns,

•  specialist information made available through its publications,

•  professional advice to government and other institutions with responsibility for public welfare,

•  development and maintenance of relationships with German, foreign and international organisations having the same or similar aims.

§ 3 Charitable status

(1) The Society pursues charitable purposes exclusively and directly as specified in the section of the [German] Tax Code entitled “Tax-privileged purposes” [“Steuerbegünstigte Zwecke”], in the version as currently amended.

(2) The Society works for charitable ends: it does not primarily pursue commercial objectives for its own benefit.

(3) The Society's assets may only be used for purposes specified in the Articles of Association. Members receive no payments from the Society's assets.

(4) No person may benefit from payments alien to the purposes of the Society as such, or from excessively high remuneration.

§ 4 Membership

(1) Any person 18 years of age or older can become a member of the Society. Applications for admission to the Society must be made to the Executive Committee either orally or in writing. The Executive Committee decides on admissions. It issues its decision on admission to interested parties in writing. There is no right of admission to the Society.

(2) Membership ends on

•  the death of the member,

•  the member's resignation, which must be communicated in writing to the Executive Committee no later than two weeks prior to the end of the calendar year,

•  expulsion from the Society. Expulsion from the Society can only be decided by the Executive Committee.

(3) In addition to active membership, the possibility also exists of becoming a passive sponsor member. Passive sponsor members are not accorded the joint decision-making rights of ordinary members. The following can become sponsor members

•  Doctors of medicine of any field, students of medicine, biology, biochemistry and molecular biology, irrespective of their nationality and place of residence.

•  Scientific institutes, companies, libraries, schools, local authorities, associations etc, based either in Germany or abroad.

(4) The Executive Committee can also appoint honorary members in addition to active members and passive sponsor members. Honorary members should be individuals who have made outstanding contributions to medicine, biology or the aims of the Society. Appointment as an honorary member does not give the person in question the rights of an ordinary member.

§ 5 Organs

The Society organs are the Executive Committee and the General Meeting.

§ 6 Membership subscriptions

No membership subscriptions will be levied.

§ 7 The Executive Committee, business office

(1) The Executive Committee consists of the President, the Vice-President and the Treasurer.

(2) Each of the three Executive Committee members can represent the Society on his own.

(3) The Executive Committee is elected by the General Meeting for a period of 3 years. However, after this period expires it remains in office until a new election is held.

(4) To conduct its day-to-day business, the Society shall maintain a business office at its registered office. If the volume of business to be conducted by the business office requires it, the Society can employ a business office manager who will receive appropriate remuneration for his/her work.

§ 8 The General Meeting

(1) The ordinary General Meeting is held once every two (2) years. Extraordinary general meetings shall be held if required in the interests of the Society, or if one quarter (1/4) of members demand that the Executive Committee hold such a meeting, citing the purpose of and grounds for the meeting.

(2) The President is responsible for drawing up the preliminary agenda and for calling the General Meeting. The meeting must be called by letter or fax with notice of no less than two (2) weeks.

(3) Following notice of the meeting, items can still be added to the agenda, with the exception of items relating to alterations to the Articles of Association.

(4) Each member has one vote. Proxy voting authority may only be issued to a Society member.

(5) Decisions are passed by a majority of valid votes cast. Abstentions and clearly invalid votes will not be counted.

§ 9 Minutes of the General Meeting

(1) The events of the General Meeting and the decisions passed there are to be recorded in minutes signed by an Executive Committee member.

(2) The minute taker will be appointed by the Executive Committee at the start of each meeting.

§ 10 Accumulated assets of the Society

In the case of the Society dissolution or where tax-privileged status is withdrawn, the remaining assets of the Society will be made over to UNICEF, for the purpose of disseminating information on the importance of micronutrients, and to be used by it directly and exclusively for charitable purposes.
